TeleJustice Academy, LLC User Agreement
NOTICE: THIS CONTRACT CONTAINS A BINDING ARBITRATION
PROVISION WHICH MAY BE ENFORCED BY THE PARTIES.
Welcome to TeleJustice Academy, LLC (“TeleJustice Academy,”
“we,” “us,” or “our”). This User Agreement (“Agreement”) governs your access to
and use of our website located at telejusticeacademy.com (the “Website”), our online
platform, mobile applications, and any related services, features, content, or
applications offered by us (collectively, the “Services”). By accessing or
using the Services, you agree to be bound by this Agreement, including our
Privacy Policy, which is incorporated herein by reference.
If you do not agree to this Agreement, you must not access
or use the Services. This Agreement is a legally binding contract between you
and TeleJustice Academy, LLC, a limited liability company organized under the
laws of the State of Missouri.
1. Eligibility
You must be at least 18 years old or the age of majority in
your jurisdiction to use the Services. By using the Services, you represent and
warrant that you meet these eligibility requirements and have the legal
capacity to enter into this Agreement. If you are using the Services on behalf
of an entity, you represent that you are authorized to bind that entity to this
Agreement.
2. Changes to the Agreement
We may modify this Agreement at any time. We will post the
revised Agreement on the Website and update the “Last Updated” date. Your
continued use of the Services after the changes become effective constitutes
your acceptance of the revised Agreement. If you do not agree to the changes,
you must stop using the Services.
3. User Accounts
To access certain features of the Services, you may need to
create an account (“Account”). You agree to provide accurate, current, and
complete information during registration and to update such information as
necessary. You are responsible for safeguarding your Account credentials and
for all activities that occur under your Account. You must notify us
immediately of any unauthorized use of your Account.
We reserve the right to suspend or terminate your Account at
any time, for any reason, without notice or liability.
4. User Content and Data Ownership
4.1 Your Content
You may submit, upload, post, or otherwise provide content,
including text, images, videos, data, feedback, suggestions, or other materials
(“User Content”) through the Services. You retain ownership of your User
Content, but by providing User Content, you grant us a worldwide, perpetual,
irrevocable, royalty-free, sublicensable, and transferable license to use,
reproduce, modify, create derivative works of, distribute, publicly perform,
publicly display, and otherwise exploit your User Content in connection with
the Services and our business, including for promotional purposes.
4.2 Data Ownership
Notwithstanding the foregoing, you agree that TeleJustice
Academy owns all rights, title, and interest in and to any data you input,
upload, or otherwise provide through the Services (“User Data”), including but
not limited to personal information, usage data, analytics, and any derivatives
thereof. This ownership includes the right to aggregate, anonymize, and use
User Data for any purpose, including improving the Services, developing new
products, research, and internal business operations.
You hereby irrevocably assign to us all rights, title, and
interest in and to the User Data. To the extent such assignment is not
permitted by law, you grant us an exclusive, perpetual, irrevocable, worldwide,
royalty-free license to use the User Data as described above.
4.3 Data Privacy Commitments
We will never sell your personal data to third parties. All
personal data collected through the Services will be anonymized and encrypted
using industry-standard security measures to protect against unauthorized
access, disclosure, alteration, or destruction. For more details on how we
handle your data, please refer to our Privacy Policy.
You acknowledge that while we implement reasonable security
measures, no system is completely secure, and we cannot guarantee the absolute
security of your data.
5. Privacy Policy
Your use of the Services is also governed by our Privacy
Policy, available at telejusticeacademy.com/privacy-policy, which explains how
we collect, use, disclose, and protect your information. By using the Services,
you consent to our data practices as described in the Privacy Policy.
6. Prohibited Conduct
You agree not to:
- Use
the Services for any illegal or unauthorized purpose, or in violation of
any applicable law.
- Interfere
with or disrupt the Services, servers, or networks connected to the
Services.
- Engage
in harassment, bullying, or any form of abusive behavior toward other
users or our staff.
- Upload
viruses, malware, or other harmful code.
- Scrape,
crawl, or use automated means to access the Services without our express
permission.
- Impersonate
any person or entity, or misrepresent your affiliation with any person or
entity.
- Infringe
on the intellectual property rights of others.
- Collect
or store personal data about other users without their consent.
- Engage
in commercial activities not expressly permitted by us, such as spamming
or unsolicited advertising.
We reserve the right to investigate and take appropriate
action against anyone who, in our sole discretion, violates this provision,
including removing offending content and terminating Accounts.
7. Intellectual Property
The Services, including all software, content, trademarks,
logos, and other intellectual property (“Our IP”), are owned by TeleJustice
Academy or our licensors and are protected by copyright, trademark, and other
intellectual property laws. You are granted a limited, non-exclusive,
non-transferable, revocable license to access and use the Services for
personal, non-commercial purposes only.
You may not copy, modify, distribute, sell, or lease any
part of Our IP without our prior written consent.
8. Third-Party Links and Services
The Services may contain links to third-party websites,
services, or advertisements. We are not responsible for the content, privacy
practices, or availability of these third parties. Your interactions with them
are at your own risk.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT
WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR
SECURE.
WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF
THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELEJUSTICE ACADEMY,
ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE
LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR
RELATING TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID
US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION
OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless
TeleJustice Academy, its affiliates, officers, directors, employees, agents,
and licensors from and against all claims, damages, losses, liabilities, costs,
and expenses (including reasonable attorneys’ fees) arising out of or related
to: (a) your use of the Services; (b) your violation of this Agreement; (c)
your User Content or User Data; (d) your violation of any rights of a third
party; or (e) your violation of any applicable law.
12. Termination
We may terminate or suspend your access to the Services at
any time, without notice or liability, for any reason, including if you breach
this Agreement. Upon termination, your right to use the Services will
immediately cease, but provisions that by their nature should survive
termination (e.g., ownership, disclaimers, limitations of liability,
indemnification, arbitration) will continue in effect.
You may terminate your Account at any time by contacting us,
but we retain ownership of User Data as described herein.
13. Governing Law
This Agreement shall be governed by and construed in
accordance with the laws of the State of Missouri, without regard to its
conflict of laws principles. The Federal Arbitration Act shall govern the
interpretation and enforcement of the arbitration provisions in Section 14.
14. Binding Arbitration and Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR
LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A
JURY TRIAL.
You and TeleJustice Academy agree that any dispute, claim,
or controversy arising out of or relating to this Agreement or the Services
(including the breach, termination, enforcement, interpretation, or validity
thereof, and the determination of the scope or applicability of this agreement
to arbitrate) shall be determined by binding arbitration administered by the
American Arbitration Association (“AAA”) under its Commercial Arbitration
Rules, as modified by this Agreement. The arbitration shall take place in
Jefferson County, Missouri (or virtually by video conference if mutually agreed
or ordered by the arbitrator). The arbitrator shall be a neutral attorney or
retired judge with at least ten (10) years of experience in commercial or
technology disputes.
The arbitrator’s decision shall be final and binding, with
no right of appeal except as permitted under the Federal Arbitration Act.
Judgment on the award may be entered in any court having jurisdiction. YOU
AND WE AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS ONLY. CLASS ACTIONS, CLASS
ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND ANY OTHER PROCEEDING WHERE
SOMEONE ACTS IN A REPRESENTATIVE CAPACITY ARE NOT PERMITTED. YOU AND WE WAIVE
ANY RIGHT TO A JURY TRIAL.
Notwithstanding the foregoing, nothing in this Section shall
prevent us from seeking injunctive or other equitable relief in any court of
competent jurisdiction to protect our intellectual property rights or to
enforce the data-ownership provisions of this Agreement.
Exclusive Judicial Venue for Review and Enforcement.
The parties agree that the Circuit Court of Jefferson County, Missouri shall
have exclusive jurisdiction for any judicial proceeding related to this
Agreement or the Services, including but not limited to: (i) confirming,
modifying, or vacating any arbitration award; (ii) enforcing any arbitration
award; (iii) granting temporary, preliminary, or permanent injunctive relief;
or (iv) any other court action permitted under this Agreement or applicable
law. You hereby irrevocably consent to the personal jurisdiction and exclusive
venue of the Circuit Court of Jefferson County, Missouri and waive any
objection based on forum non conveniens or otherwise. No other court shall have
jurisdiction to review or enforce matters arising under this Agreement.
15. Force Majeure
We shall not be liable for any failure to perform our
obligations under this Agreement due to events beyond our reasonable control,
including but not limited to acts of God, war, terrorism, riots, embargoes,
acts of civil or military authorities, fire, floods, accidents, pandemics,
strikes, or shortages of transportation, facilities, fuel, energy, labor, or
materials.
16. Miscellaneous
- Severability:
If any provision of this Agreement is held invalid or unenforceable, the
remaining provisions will remain in full force and effect.
- Waiver:
No waiver of any term shall be deemed a further or continuing waiver.
- Assignment:
You may not assign this Agreement without our consent. We may assign it
without notice.
- Entire
Agreement: This Agreement, including the Privacy Policy, constitutes
the entire understanding between you and us.
- No
Third-Party Beneficiaries: This Agreement does not confer any rights
upon any person or entity other than the parties hereto.
- Electronic
Communications: You consent to receive communications from us
electronically.

understood, and agree to be bound by this Agreement.
